The claimant sought an order for the transfer of shares pursuant to an agreement with the first defendant. The respondent resisted the application on the ground of undue influence.

John Martin QC found that the claimant had not unduly influence the defendant and that, in any event, the defendant had, with the benefit of legal advice, affirmed the contract.
