Whether a minority creditor was unfairly prejudiced by the terms of a company voluntary arrangement had to be judged against the background of the only realistic alternative to the deal reflected in it: liquidation.  Futhermore, it was not rendered unfairly prejudicial by virtue of any conflict of interest from which the liquidator or administrator propounding it might have suffered.
