CIGA and Directors’ Duties Webinar

This session considers changes brought about by the provisions of the Corporate Insolvency and Governance Act 2020, including the impact on directors’ duties.  As well as examining briefly the amendments to bring in:

  1. the new moratorium provisions;
  2. the cross class cram down procedures;
  3. the limitations on ipso facto clauses; and
  4. the prohibitions on the presentation of statutory demands and winding up petitions. 

The webinar investigates in greater depth the “suspension” of the wrongful trading provisions, asking what practical difference the suspension will really make.  It considers what impact the reforms might have on the duty to have regard to the interests of creditors, other potential sources of liability to directors in the context of insolvency and the potential impact on the directors' disqualification regime.
