We advise across the full spectrum of partnership structures, including general partnerships, limited partnerships and LLPs. Our work spans domestic and cross‑border matters, often involving high‑net‑worth individuals and sophisticated international structures. Much of our work is in the context of professional services firms, investment and asset management structures, private equity and hedge funds, family investment and wealth management partnerships, property ventures and regulated businesses.

Our contentious work includes disputes relating to expulsions and compulsory retirements, team moves and restrictive covenants, partner remuneration and capital entitlements, dissolutions and winding‑up, regulatory and disciplinary issues, insurance coverage, third‑party liabilities and tax.

Members frequently act in partnership and LLP arbitrations and mediations as well as litigation, reflecting Serle Court’s recognised strength in alternative dispute resolution.

 

On the non‑contentious side, we advise on the formation, restructuring and governance of partnerships and LLPs, including domestic and international mergers and demergers, LLP conversions, amendments to partnership agreements and the use of partnership and LLP vehicles within wider commercial and financial structures. Our barristers often integrate this work with advice on tax, insolvency, regulatory and company law issues to deliver comprehensive and coherent solutions.

Several members are general editors, authors and contributors of authoritative publications, including Whittaker and Machell on the Law of Limited Liability Partnership (now in its 6th edition) and Partnership and LLP Law (9th edition).
