Shareholder permitted to obtain court documents regarding scheme of arrangement (Lash Holding v Algeco Scotsman)

In this article for LexisNexis, Wilson Leung analyses the recent case of Lash Holding v Algeco Scotsman (in which Wilson acted as counsel).

The court granted permission to a non-party, pursuant to CPR 5.4C(2), to obtain court records relating to the sanctioning of a scheme of arrangement. The non-party was an indirect shareholder of the scheme company, in respect of which a scheme of arrangement had been sanctioned by the court several years ago. The judgment demonstrates the courts’ relatively liberal approach in allowing access to court documents relating to the sanction of a scheme of arrangement, provided that the scheme hearing was in open court and the applicant can show a legitimate interest in the documents.
